Terms of Service.

Welcome to DealFlow OS ("DealFlow", "we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of the DealFlow OS web application, mobile applications, APIs, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility & Account

You must be at least 18 years old and legally capable of entering a binding contract. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use.

2. Service Description

DealFlow OS is a software platform that helps real-estate wholesalers source motivated seller leads, analyze properties, draft offers, manage buyer lists, and coordinate contract activity. DealFlow is software, not a licensed real-estate brokerage, title company, attorney, lender, or financial advisor. We do not list, sell, or hold interest in any real property. 3. Subscription & Billing

Paid plans are billed via Stripe on a recurring basis (monthly or annual) at the rate displayed at checkout. You authorize us to charge your payment method at the start of each billing cycle. You may cancel at any time from Settings → Billing; cancellation takes effect at the end of your current billing period and does not entitle you to a refund of fees already paid, except where required by law.

4. Acceptable Use

You agree not to:

• Violate any applicable law, including real-estate licensing, consumer protection, telemarketing (TCPA, Do-Not-Call), fair-housing, or anti-spam laws (CAN-SPAM, CASL).
• Scrape, resell, or redistribute data provided by the Service without written permission.
• Send unsolicited SMS or email that is not permitted by the recipient's prior consent or an applicable exemption.
• Attempt to reverse-engineer, probe, or disrupt the Service.
• Impersonate another person or misrepresent your identity, licensure, or role in a transaction.

5. Communications You Send Through DealFlow

You are solely responsible for every outbound SMS, email, call, letter, or contract you create, send, or sign through the Service. You represent and warrant that you have obtained all consents required by law for each recipient and that your communications are truthful and non-deceptive.

6. Third-Party Services

The Service integrates with Twilio, Resend, Stripe, DocuSign, and AI providers. Your use of those features is also subject to the applicable third-party terms. We are not responsible for third-party outages, pricing changes, or data practices.

7. Intellectual Property

DealFlow OS, its brand, software, and content are our property or licensed to us. You receive a limited, non-exclusive, non-transferable license to use the Service during your active subscription. You retain ownership of the lead, buyer, and deal data you upload.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DealFlow does not guarantee the accuracy of property valuations, repair estimates, ARV, MAO, motivation scores, or buyer-matching suggestions. All outputs are informational and must be independently verified before any real-estate transaction.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) US$100 OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold DealFlow harmless from any claim arising from (a) your use of the Service, (b) your violation of these Terms, (c) your violation of law, or (d) any third-party claim arising from your communications or real-estate transactions.

11. Termination

We may suspend or terminate your account for violation of these Terms, abuse of the Service, or non-payment. You may terminate at any time by deleting your account in Settings. Upon termination, your data is deleted within 30 days unless retention is required by law.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Any dispute shall be resolved by binding individual arbitration in Delaware under the rules of the American Arbitration Association. You waive the right to a jury trial and to participate in a class action.

13. Changes

We may update these Terms from time to time. Material changes will be announced by email or in-app notice at least 7 days before taking effect. Continued use after the effective date constitutes acceptance.
