Wholesaling Disclaimer.
DealFlow OS is a software platform. We are not a real-estate brokerage, licensed agent, attorney, lender, title company, tax advisor, or financial advisor. We do not list, buy, sell, hold, or broker any interest in real property. Nothing in DealFlow — including automatically generated offers, assignment agreements, ARV estimates, MAO calculations, motivation scores, or AI chat responses — constitutes legal, tax, investment, or professional advice.
Licensing is Your Responsibility
Real-estate wholesaling is regulated differently in every US state. Several states (including Illinois, Oklahoma, South Carolina, Pennsylvania, Virginia, Kansas, and others) now require wholesalers to hold a real-estate license, disclose equitable interest in writing, or limit the number of transactions per year. More states are actively legislating.
Before you source, contract, or assign a deal:
- Confirm the current law in every state where you operate — state statutes change frequently.
- Obtain any required real-estate license or work under a sponsoring broker.
- Have every contract and assignment reviewed by a licensed real-estate attorney in that state.
- Disclose your intent to assign in writing, in plain language, to every seller and buyer.
- Follow your local attorney-general and state real-estate commission bulletins.
Templates Are Starting Points, Not Final Documents
The purchase agreements, letters of intent, cash offers, and assignment agreements generated by DealFlow are generic templates. They do not replace a state-specific contract reviewed by a licensed attorney. Clauses, inspection periods, earnest-money handling, and disclosure requirements vary by state and by county. Modify and verify every document before signing or sending.
Property Valuations Are Estimates
ARV, MAO, repair estimates, equity percentages, motivation scores, and all AI-generated analytics are informational estimates based on the data you input and public sources. They may be inaccurate, outdated, or incomplete. Do your own due diligence: comps, inspections, title reports, and professional appraisals.
Communications Compliance
When you use DealFlow's SMS, email, or direct-mail features, you are the sender. You are solely responsible for compliance with:
- Telephone Consumer Protection Act (TCPA) and state analogues
- Do-Not-Call Registry (federal and state)
- CAN-SPAM Act, GDPR, and CASL for email
- Fair Housing Act
Obtain prior express written consent before marketing SMS. Honor opt-outs immediately.
No Guarantee of Results
DealFlow does not guarantee that you will source leads, find buyers, close deals, or earn any specific amount of money. Real-estate wholesaling involves significant financial, legal, and reputational risk. Past performance of any user shown in the DealFlow Index or marketing materials is not predictive of your results.
Consult Professionals
Before executing any real-estate transaction, consult a licensed attorney in the transaction state, a CPA, and (where applicable) a licensed real-estate broker. By using DealFlow, you acknowledge that you are relying on your own judgment and your own professional advisors.
